Entity Formation and Maintenance
Our attorneys advise a wide range of business entities outside of litigation. We are experienced in entity formation and maintenance, and our attorneys have created numerous for-profit and non-profit entities. We advise business entity clients during their entire life cycle, including start-up, maintenance and growth, and structural changes. Our attorneys advise clients as to choice-of-entity issues, ownership structures, and control structures. As part of this process, we routinely draft appropriate shareholder agreements, operating agreements, buy-sell agreements, voting agreements, and other specialty agreements tailored to our clients’ specific needs. We work with our clients to ensure adherence to corporate formalities, and we assist in drafting board resolutions and maintaining appropriate business records.
Employment and Regulatory Compliance
Our attorneys advise clients with respect to a broad range of employment matters, on the management side and on behalf of current or prospective employees. We are also skilled at reviewing and analyzing contracts in order to avoid future litigation.
